“We are 100% foreign investment limited liability company with 1 member located in Hanoi HQ and Da Nang Branch. Currently, we use 1 enterprise seal, and we want to have another in Dan Nang. We have not noticed to supplement, update our business registration information under Certificate of Investment yet. Then, can Dragon Law’ Call Center of Enterprise Law consult to us about the procedures? Thank so much.”

Answer:

1. Procedures for supplement and update of business registration to the enterprises operated under Certificate of Investment as follows:

Pursuant to Point d of Clause 3 under Circular No. 5122/BKHĐT dated July 24, 2015 of Ministry of Planning and Investment (MOPI) about implementation of Investment Law:

d,    In case investors wish to substitute the Investment Registration Certificate or the Enterprise Registration Certificate for the Investment License, the Investment Certificate (or the Business Registration Certificate), they shall implement procedures for issuance of a substitute for the Enterprise Registration Certificate at the Business Registration Authority:

-       Written request for issuance of a substitute for the Enterprise Registration Certificate (applied on Annex I-26 of Circular No.4211/BKHĐT-ĐKKD dated June 26, 2015);

-       Copy of the Investment License;

-       Copy of Investment Registration Certificate (or the Business Registration Certificate);

-       Copy of Tax Registration Certificate.

2. Registration for seal quantity and design

Under Clause 1 & 2, Article 34 of Decree No. 78/2015/NĐ-CP dated September 14, 2015 on Enterprise Registration:

1.     Every enterprise is entitled to decide the design, content, and quantity of its seal and the seals of its branches and representative offices.  An enterprise may have multiple seals with the same design and content.

2.     Before using, changing, or destroying a seal design of an enterprise or its branch/representative office, the enterprise must send a notification of Form I-19 to Business Registration Office of the province where the enterprise, branch, or representative office is situated in order to post the seal design on National Business Registration Portal.
