Quotation of Regular Legal Consultation Services
I. Contents of Regular Legal Consultation Services from Dragon Law:
1. Consult the general laws and regulations, regularly update and provide the latest legal documents as required by the Enterprise in the field related but not limited to the law on civil, commercial, enterprise, investment, labour, insurance, etc... arising in everyday business activities.
2. Consult the matters relating to the Customer’s internal organization such as Charter, Business Regulations, Regulations on the production and business activities; Internal structure in order to conform with the Vietnamese laws. Consult on changes in business registration such as name, headquarter (if required).
3. Consult on contracts and provide legal solutions, practical solutions for Customer in the process of contract negotiation with partners.
4. Consult, propose adjustments and recommendations for the agreement, contracts which will be signed by Customer in Vietnam to ensure the legality under the law of Vietnam in order to make Customer’s benefit in signing of contracts.
5. Check the legality of documents drafted by the Customer or before and during the signing of contracts (or termination) with partners. Direct support or assist Customer in drafting contracts and relevant transaction documents.
6. Consult in laws on labour, tax, accounting in business activities.
7. Provide in legal documents in business activities.
8. Provide sample of contracts, forms to work with competent authorities.
9. Consult, support the legal procedures for Employees of Enterprise working in Vietnam such as Invitation Letter, Passport, Visas, Work Permit, Temporary Residence Card, temporary residence registration stipulated by the Vietnamese laws; support information channels on temporary residence of foreigners in Vietnam.
10. Representative on behalf of Customer to deal with the competent authorities about procedures of business activities.
11. As an Enterprise’ lawyer in negotiation, signing and implementation of the contracts with partners.
12. Consult on the way, policy and procedure related to solving the complaint, contract dispute between Customer and partners.
13. Authorized representative of the Enterprise in Vietnam in negotiation or signing the contracts; review the documents and contracts before signing to make legal protection for Enterprise.
14. On behalf of the Enterprise in matter of transaction, negotiation with the relevant authorities, parties, debtors with liabilities of maturity date in Vietnam.
15. Appoint lawyers to represent in internal meetings or other transactions of Enterprise in Vietnam upon request.
16. Perform tasks such as: change in Certificate of Business Registration, Certificate of Investment, time for Temporary Residence Card, Work Permit, Sublicense of the Enterprise ....
17. Consult to resolve other legal issues arising in the process of business activities of Enterprise in Vietnam upon request.
II. Contents of Regular Legal Consultation Services are not included:
1. Drafting of legal documents are not issued by your Company or relevant to the organization, internal operation or directly serve to for business operations of your Company. Estimated cost for draft is range from 500,000 VND - 800,000 VND.
2. Draft complicated contracts which require the support of experts, value over 1,000,000,000 VND (one billion Vietnam dong) or translate into a foreign language over three (03) pages or the contracts which your Company will sign with overseas organizations and individuals;
3. As an authorized representative of Enterprise in negotiation, signing the contracts or projects with partners;
4. On behalf of your Company to carry out legal procedures in the competent authorities in proceedings;
5. Others are not regulated in the above contents.
In case your Company would like to hire Dragon Law to perform work contents outside regular consultation contents, the Parties shall agree together on an extra fees or consultation contract based on the case.
III. Method to sign Regular Legal Consultation Services Contract:
Based on the work scope and contents prescribed in the Regular Legal Consultation Services Contract, Dragon Law will propose the consultation services fees as follows:
1. Package 1:
a, Services fee: 12,00,000 VND/ month. The above fee is not included VAT and business trip fee in provinces outside Hanoi.
b, Work contents: Consultancy on enterprise law (registration - operation - restructure, salary, labour, debt collection, etc.); consultancy on tax law - accounting legislation for Enterprise in the operation process from Point I.1 to I.8 and some contents in Point I.17.
c, Consultation methods: through email, telephone or direct in Dragon Law’s office.
d, Consultation time: at least 1 week/1 time/2 hours of direct consultation in Dragon Law’s office. Maximum consultation time is 15 hours of consultation.
e, Main consultants: main lawyer and legal specialist shall take duties on Customer’ work contents.
Note: The package does not include advisory activities of lawyers based on the assessment of records and work orientation. The total work time is 8 hours/ 1 month/ 4 times during office hours. Over maximum work time is calculated 800,000 VND/ 1h or overtime cost is identified 1,000,000 VND/ hour.
2. Package 2:
a, Services fee: 15,000,000 VND/month. The above fee is not included VAT and business trip fee in provinces outside Hanoi.
b, Work contents: With this special service package, Customer is not worried about the legal issues arising in the process of business operation. Dragon Law will have a role as a Customer’s legal advisory department (excluding the Points from 10-16). Dragon Law shall directly discuss and consult about documents, papers, contracts for Customer. Over the maximum work time is calculated 800,000 VND/ hour or overtime cost is determined 1,000,000 VND/ hour.
c, Consultation time: Maximum 20 hours/ month (twenty hours per month), in which at least once a week (maximum 2 hours/ week, 8 hours/ month) to work directly at Customer’s office and check the confidential records which are not transferred via email or fax.
d, In addition, requirements of Customer will be directly answered by email or by at least two (02) hotlines/ 24h.
e, Main consultants: main lawyer and legal specialist shall take duties on Customer’ work contents.
3. Package 3:
a, Services fee: 17,500,000 VND/month. The above fee is not included VAT, business trip fee in provinces outside Hanoi and successful case fee.
b, Work contents: Consultancy on enterprise law (registration - operation – restructure, etc.); Consultancy on tax law - accounting legislation for enterprise in the operation process; Authorized representative in resolution of matters relating to Enterprise operation inluded all the above-mentioned Points.
c, Consultation methods: through email, telephone or direct in Dragon Law’s office.
d, Authorized representative: through authorized contracts or cooperation contract.
e, Consultation and working time: Total 25 hours/month.
i. At least 1 week/ 1 time/ 2 hours (in office hour from 8 A.M. to 5 P.M. on Monday to Friday) direct consultation in Dragon Law’s office or Customer’s office.
ii. In case your Company need lawyer or/and legal specialist support of Dragon Law, kindly inform to us through telephone, email at least one (01) day.
f, Main consultants: main lawyer and legal specialist shall take duties on Customer’ work contents.
Note: The package does not include activities of lawyers. The total work time is 30 hours. Over maximum work time is calculated 800,000 VND/ 1h or overtime cost is determined 1,000,000 VND/ 1 hour. In addition, successful fee per case with the participation of lawyer is determined 10% of fee that is collected.
Dragon Law will support the legal services incurred but not included fees and charges of the State for the case resolution process. For example: fee to publish in newspaper, fee for work permit ... Time that lawyer and legal specialist participating in administrative settlement will be deducted from the consultation time and will be notified to reach the Customer’s consent. All fees that lawyer and legal specialist use to directly deal with each service, each Customer's requirement are not too high compared to the market price, and only when approved to spend when reached the consent of Customer. All cases relating to the fees and charges of handling work upon request of Customer, Dragon Law will not be responsible for the results.
Consultation period is the full actual time that lawyers, legal specialists of Dragon Law used to carry out consultancy work at the request of your Company, included document review time to make official opinion or to standardize the documents, texts, files; time to edit documents and provide formal legal opinion on the other requirements related to the above consultation contents.
The stated Quotation is preliminary. Depending on the needs of Customer on the demand of our consulting services will have suitable quotation frame for each work package. Dragon Law looks forward to the cooperation of Customer.
Our above Quotation is just for reference. In case Clients require long-term consultation, Dragon Law will increase the work period and cost of work and shall give Customer incentives.
